See the page in this guide on how to create a joint venture agreement. You need a clear legal agreement setting out how the joint venture will work and how any income will be shared. It also affects your liability if the venture goes wrong. The way you set up your joint venture affects how you run it and how any profits are shared and taxed. It's worth taking legal advice to help identify your best option. You should also think about what might happen if the venture goes wrong and how much risk you are prepared to accept. To help you decide what form of joint venture is best for you, you should consider whether you want to be involved in managing it. You might even decide to completely merge your two businesses. For example, you could form a business partnership. In some circumstances, other options may work better than a business corporation. The partners each own shares in the company and agree on how it should be managed. A joint venture company like this can be a very flexible option. The two partners could agree to a contract setting out the terms and conditions of how this would work.Īlternatively, you might want to set up a separate joint venture business, possibly a new company, to handle a particular contract. For example, a small business with an exciting new product might want to sell it through a larger company's distribution network. ![]() Even when a game does not literally exploit its players’ leisure for its creator’s gain, it orients the player toward formal, often numerical goals that structure progress and, by extension, define enjoyment. Solutions, control, metrics, and outcomes rule. Tetris aspires for the rule of order over disarray civilization presents natural resources as a means to global domination. Games, he argues, are the aesthetic form of instrumental reason-that is, order, efficiency, and cost-effectiveness as art. The game designer Paolo Pedercini sees that contradiction as a fundamental feature of the medium. Games, by contrast, are supposed to be entertainment-and yet they demand toil in leisure’s pursuit. Read: Video games are better without charactersīut email is undeniably work, at least, and social media can be construed as interpersonal communication. Likewise, when you feel obliged to check work email or Slack at all hours, you confuse work with leisure until no boundary exists between the two. When you post to Instagram or Twitter or Facebook, for example, your leisure (sharing with friends) doubles as unpaid work for social-network services, which use the results to sow others’ leisure. Playbor isn’t for just games either: It also describes the digital economy more broadly. levels for other owners of the software to play. In Super Mario Maker, players pay for a software product that invites labor: making Super Mario Bros. In FarmVille, for example, players exploit their network of friends and acquaintances to advance their progress in the game, and thereby the material benefit of Zynga, the company that publishes the game. The game theorist Julian Kücklich even coined a portmanteau, playbor, to describe the fusion of work and leisure in contemporary life. Role-playing gamers sometimes talk about “grinding”- completing boring, repetitive tasks to advance their character’s abilities in order to make progress-a term that exactly mirrors the drudgery and toil of labor. But in games, you are the character, and thus you must pilot him (or her, but usually him) through every detail that the simulated world demands. Moreover, these forms skip over the boring parts by editing them out: You don’t have to watch a character traverse the stairs, sidewalk, subway, and elevator to get from home to work. ![]() It’s easy to pass the eyes over the pages of a book, or to bathe in the waves of image and sound at the cinema or in your living room. Game-play-the work of working a game-is fundamentally irritating, at least in comparison with other media forms. Let the memers honk their geese so you don’t have to. And like all labor, the best way to get it done is to farm it out to others. ![]() Untitled Goose Game is a game about work’s ubiquity in the guise of a game about leisure’s frivolity. ![]() It might even be more fun not to play the game than to play it. It did so, in part, by offering a counterintuitive way out of the quandary of game-play’s fundamental aggravation: Someone has to play the game, but that someone needn’t be you. Untitled Goose Game became a massive, surprise hit-and a meme-in the month since its release. The player’s job is to make them work again. Games are machines, and broken ones at that. And playing them requires exerting the effort to operate them. That’s the big problem with video games: To enjoy them, you have to play them. The only problem is that you have to play the game to do so. You gain a new perspective, having had the opportunity to be something grander than-or just different from-yourself. Games turn the world on its head, allowing you to become all the things you are not: a criminal, in Grand Theft Auto an explorer of alien worlds, in No Man’s Sky the universe itself, in Everything. It’s fun! Being a goose for a while is diverting and surprising, and embodying one in a simulated, pastoral environment speaks to the flexible power of games as a medium. For some reason, it turns out to be familiar to everyone, even city slickers who have never seen a goose in person. A recent, hugely popular video game, Untitled Goose Game, stages this conflict. If you are a person and one appears on your country estate, the advice recommends avoiding engagement and then standing your ground if it charges. They’re brusque, clumsy, and territorial. Like games, geese are notoriously annoying. ![]() Whether it’s to eject a DVD, open a microwave door, start a dumb air purifier, or start an otherwise really smart television, there are some devices that require a button push. To make matters worse, the field goal attempt was blocked by the Cowboys, and Noah Igbinoghene scooped up the loose ball and went 58 yards to the house. If the Cardinals were tanking for the No. For a half, they might have just by looking in a mirror. The Giants were supposed to see the NFL’s worst team Sunday in Arizona. ![]() Checking every file for every known virus could take hours, and some malware can hide other malware. No single scan will always find everything. Malwarebytes’ (formerly Xplode’s) AdwCleaner targets PUPs (potentially unwanted programs) that some antivirus products leave alone.Ģ. Kaspersky’s Virus Removal Tool could be worth a go. Malwarebytes Anti-Malware and Spybot Free Edition (formerly Spybot Search & Destroy) have often found things other programs have missed. It’s a bad idea to install more than one antivirus program, but you can run one-off scans with as many as you like. Try two or – if one of them is Windows Defender – preferably more. ![]() No single antivirus program will always find everything. Save and back up your work, and for the best results, keep these three things in mind:ġ. Remove one malicious program and a second scan – or scanning with a different utility – may find other malicious programs that were previously hidden. Some of them will try to hide each other. A bit of malware that’s become securely embedded may well bring in its friends, who will bring their friends. If you have a PC that has been infected for a while, don’t run one scan and think you’ve solved the problem. Running repeated one-off scans with collection of different antivirus programs is the best way to make sure all the malware is gone. I’ve never found one despite decades of trying. For more information, see CSO’s: How to identify, prevent and remove rootkits in Windows 10. Try Malwarebytes Anti-Rootkit, which is now being beta-tested, and Sophos’s Rootkit Removal. Several companies also offer free rootkit scanners. Click the radio button for the Windows Defender Offline scan and then hit “Scan now”. In the section for current threats, click on the words “Scan options”. ![]() To do this, run the Windows Security app (which used to be the Windows Defender Security Center) and select “Virus and threat protection”. You can check for rootkits by running the Windows Defender Offline scan. This is one way malware can reappear after you’ve removed it. Rootkits act mainly as backdoors so that other programs, such as keyloggers and viruses, can be installed from remote servers. Users sometimes find out they have a rootkit because something odd – high processor usage or unexplained internet traffic – prompts them to check their firewall logs to find the culprit. It’s the kind of approach used to attack IoT (Internet of Things) devices, where recovery involves not only changing the software but updating the firmware. This was the first attack of its kind to affect Windows 10, but it could become more common. Late last year, ESET antivirus researchers found rootkit code hidden in the Flash memory of a PC’s Serial Peripheral Interface (SPI), where it could survive even if you did a clean reinstallation or changed the hard drive. Rootkit writers try to hide code in places where they can avoid detection. Rootkits are designed to avoid detection, sometimes for many years. ![]() Whichever route you take, start by running one or more programs designed to find rootkits and similar software. Rootkits can be a pain to spot and remove. Today, this seems to apply even if the only antivirus software you run is Microsoft’s Windows Defender. That includes my wife’s machines, and she has no interest in becoming a computer expert.Īssuming you run antivirus software and have a firewall turned on, you can generally avoid Windows malware by keeping all your software up to date – which I do – and by not making any silly mistakes. It’s well over a decade since malware affected any of the PCs in our house. Of course, it’s better to avoid having the problem. It’s also the best option if you are going to sell a laptop, or give it away. I recommend the nuclear option for bad virus infections and for laptops that only have 32GB of built-in storage. In this case, you can either use Windows 10’s built-in reset system or take the nuclear option of reinstalling Windows 10 from scratch. If you don’t have a lot of programs and data to restore, then a reset could be quicker. This can take quite a long time, but you don’t have to re-install all your programs and data. ![]() Given their size, they have very few natural predators. These structures are called cephalic lobes or ridges, and remain coiled when manta rays are swimming. What are the “horns” they have in their head used for? Scientists believe they are long-lived species that live at least 40 years. The maximum weight is that of the giant manta ray that reaches up to 1,350 kilograms, but can occasionally exceed this figure. These fish have a low birth rate because each female is usually 1 offspring and rarely have 2. The hatching occurs within the body and then the young are born alive and independent. Manta rays are ovoviviparous, i.e., the male fertilizes the female transferring its sperm through the female’s cloaca. It is the giant manta ray, which can grow to nine meters wide. – What is the largest species of manta ray? ![]() Of course, if disturbed they can react and attack, like any wild animal. If a human being is near them they don’t try to attack. No, because they lack a poisonous sting in the tail. They have gills by absorbing oxygen dissolved in the water, like all other fish. Often they are found in reefs around groups of islands and atolls. They are widely distributed in tropical, subtropical and temperate waters of the Pacific and Indian oceans and to a lesser extent in the Atlantic. They introduce water in their mouth and it is filtered by the gill rakers of their gills. This means they feed on plankton, tiny aquatic creatures. They belong to the group of chondrichthyans, fish with skeleton made of cartilage rather than bone. Until 2009 they were considered a single species, but at present they are recognized as 2: reef manta ( Manta alfredi) and the giant manta ray ( Manta birostris).
